Eventlify Merchant Agreement

This Merchant Agreement (“Agreement”) is incorporated into the Eventlify Terms of Use. By creating a paid event or utilizing payment services through Eventlify (“Services”), you (“Organizer”) agree to the terms outlined below. Failure to comply with this Agreement may result in suspension or termination of your Eventlify account.

1. Organizer Information

1.1 Registration Data: Organizers must provide accurate and up-to-date information, including but not limited to name, address, Tax Identification Number, bank account details, and copies of government-issued identification.

1.2 Additional Data: Eventlify may require additional information to verify your identity, transactions, or eligibility to use Services.

1.3 Disclosure Authorization: You authorize Eventlify to:

  • Share Registration Data with Payment Processing Partners, banks, and credit agencies.
  • Conduct due diligence through third-party verification.

1.4 Failure to Provide Information: Inaccurate or incomplete data may result in account suspension or withheld payments.

2. Payment Methods and Processing

2.1 Overview:

  • Pay by Check: Payments are collected directly by the Organizer.
  • Eventlify Payment Processing (EPP): Only credit card payments are processed by our payment partner, Stripe®, with Eventlify acting as a limited payment collection agent.
  • Pay by Cash: Payments are collected manually by the Organizer.
  • Custom Payment Methods: Organizers may add custom payment methods, which are manually collected but can be tracked within Eventlify for reporting purposes.

2.2 Eventlify’s Role: Eventlify does not provide banking or deposit services. Balances displayed in your account reflect only collected Event Registration Fees from credit card payments, not stored value.

2.3 Confirmations: Eventlify issues confirmation numbers for transactions. Organizers must verify and honor these confirmations.

2.4 Fees:

  • Eventlify Payment Processing Fees (“EPP Fees”) apply to each transaction processed through Stripe.
  • Additional Services, such as marketing or on-site support, are subject to Ancillary Fees disclosed prior to acceptance.

2.5 Payouts:

  • Payouts must be manually processed by the Organizer after the event, unless explicit permission is granted by Eventlify.
  • There are no payout fees.
  • Payouts are made exclusively via ACH for USD transactions.
  • Eventlify may establish transaction limits or withhold payouts based on risk assessments.

2.6 Chargebacks and Reversals:

  • Organizers are responsible for chargebacks and associated fees.
  • Eventlify may re-present chargebacks but is not obligated to contest transactions deemed unlikely to succeed.

3. Refunds

3.1 Refund Policies:

  • Organizers must establish and communicate refund policies that comply with Eventlify’s Attendee Refund Policy Requirements.
  • Refunds for EPP transactions must be processed through Eventlify unless otherwise agreed.

3.2 Mandatory Refunds: Eventlify may issue refunds without Organizer consent if:

  • Required by Organizer’s refund policy or applicable law.
  • The transaction is fraudulent, duplicate, or likely to result in a chargeback.
  • The event is canceled or nonperformance is suspected.

3.3 Organizer Liability: Organizers are responsible for reimbursing Eventlify for refunds, chargebacks, or other associated losses.

4. Prohibited Activities

4.1 Prohibited Merchants: Organizers may not:

  • Operate in embargoed countries or regions.
  • Appear on government sanction or watch lists.
  • Use Eventlify Services after being terminated by payment networks.

4.2 Prohibited Events: Events violating laws, Payment Scheme Rules, or hosted in Restricted Countries are prohibited.

4.3 Prohibited Transactions: Organizers may not process fraudulent, unlawful, or restricted transactions, including but not limited to:

  • Gambling.
  • Sending funds unrelated to event services.

4.4 Remedies for Violations: Eventlify may suspend accounts, withhold funds, or notify law enforcement if prohibited activities are detected.

5. Taxes

5.1 Tax Responsibility: Organizers are solely responsible for collecting, remitting, and reporting taxes applicable to their events.

5.2 Reimbursement for Tax Liabilities: Organizers agree to reimburse Eventlify for taxes, penalties, or costs incurred due to Organizer’s failure to comply with tax obligations.

6. Representations and Warranties

6.1 Organizers represent and warrant that:

  • They have legal authority to enter into this Agreement.
  • Events comply with all applicable laws and regulations.
  • They will not engage in prohibited activities.

7. Termination

7.1 Eventlify may terminate this Agreement if:

  • Organizers violate any provision of this Agreement or applicable laws.
  • Payment networks or partners suspend Organizer’s access.

7.2 Upon termination, Organizers must immediately settle any outstanding obligations.
